Terms of Service

1. Acceptance of Terms

By accessing or using AgentPowers ("the Service", "the Platform"), operated at agentpowers.ai by Digital Envision LLC, a Delaware limited liability company ("we", "us", "our", "the Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

AgentPowers is a marketplace for AI agent skills, tools, and automation workflows ("Skills"). These Terms govern your use of the website, any purchases you make as a buyer, any content you publish as a seller, and all related services provided through the Platform.

These Terms constitute a legally binding agreement between you and Digital Envision LLC. By creating an account, browsing the marketplace, making a purchase, or publishing a skill, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated by reference.

2. Eligibility

You must be at least 18 years of age to use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to request proof of age or identity at any time. Accounts created by users under the age of 18 will be terminated upon discovery.

3. Account Registration and Security

To purchase or sell Skills on AgentPowers, you must create an account. Account authentication is provided through Clerk, our third-party authentication provider. You may register using your email address or through supported OAuth providers (Google, GitHub).

You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials
• Not share your account credentials with any third party
• Immediately notify us of any unauthorized access to or use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account information is inaccurate, that your account has been compromised, or that you have violated these Terms.

4. The Marketplace

AgentPowers is a platform that connects sellers who create AI agent Skills with buyers who wish to purchase and use those Skills. We act as an intermediary facilitating transactions between buyers and sellers. We do not create, own, or endorse any Skills listed by third-party sellers on the Platform unless explicitly stated otherwise.

While we perform automated security scanning on all published Skills, we do not guarantee the quality, safety, legality, accuracy, or suitability of any Skill listed on the marketplace. Buyers are responsible for evaluating Skills before purchasing and using them.

5. Purchases and Payments

5.1 Pricing and Currency

All prices on the Platform are displayed in US Dollars (USD). Prices are set by individual sellers and may be changed by sellers at any time. Price changes do not affect previously completed purchases.

5.2 Payment Processing

All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy . We do not store your credit card numbers or full payment details on our servers.

5.3 License Grant and Scope

Upon successful payment, you receive a limited, non-exclusive, non-transferable, single-user license to download, install, and use the purchased Skill in your own AI development environment. This license grants you a right to use the Skill — it does not transfer ownership of the Skill's source code, intellectual property, or any underlying content to you. All rights not expressly granted remain with the original creator.

Each purchase is tied to a unique license code in the format XXXX-XXXX-XXXX. License codes are:

• Issued to a single account holder and may not be transferred, gifted, or assigned to any other person or entity
• Valid for personal or internal business use by the purchasing account holder only
• Valid for one installation per license unless the seller's listing explicitly states otherwise
• Not to be shared, resold, sublicensed, or redistributed in any form

5.4 Prohibited Use of Purchased Skills

You agree that you will not, under any circumstances:

• Share, redistribute, or publicly post downloaded Skill files, in whole or in part, through any medium including but not limited to websites, file-sharing platforms, repositories, forums, messaging services, or peer-to-peer networks
• Provide your license code to any other person or make it publicly available
• Resell, sublicense, rent, lease, or otherwise commercially distribute any purchased Skill
• Remove, alter, or obscure any proprietary notices, metadata, or identifiers embedded in a Skill
• Attempt to reverse-engineer, decompile, or disassemble any Skill for the purpose of extracting and redistributing its contents

5.5 Creator Protection and Purchase Identifiers

To protect creators and deter unauthorized distribution, purchased Skill files may contain embedded purchase identifiers, watermarks, or metadata that associate the copy with the originating account and transaction. These identifiers allow AgentPowers to trace unauthorized copies back to the account from which they originated.

This measure exists to protect the livelihood of creators who build and sell Skills on the Platform. Purchase identifiers do not affect the functionality of the Skill and are a standard creator-protection practice used across digital marketplaces. By purchasing a Skill, you acknowledge and accept the presence of such identifiers in your copy.

5.6 License Revocation

AgentPowers reserves the right to revoke any license, disable any license code, and restrict access to purchased Skill files if we determine, at our sole discretion, that:

• The license holder has redistributed, shared, or made the Skill publicly available in violation of these Terms
• The license code or Skill files have been found in unauthorized locations or in the possession of unauthorized parties
• The license holder has attempted to remove, alter, or circumvent purchase identifiers or other protection mechanisms

License revocation is permanent and no refund will be issued for revoked licenses. We will make reasonable efforts to notify you before or at the time of revocation, but are not required to do so in cases involving clear or ongoing violations.

5.7 All Sales Final

Due to the digital nature of the products sold on AgentPowers, all purchases are final and non-refundable. Once a license code has been issued, the transaction is considered complete.

If a Skill does not function as described in its marketplace listing, you may contact us at legal@agentpowers.ai and we will work with the seller to resolve the issue. Resolution may include corrections to the Skill by the seller, but does not guarantee a refund.

In exceptional circumstances involving fraud, significant misrepresentation, or Skills that are materially non-functional, we may, at our sole discretion, issue a refund or credit. Such decisions are final and not subject to appeal.

6. Seller Terms and Conditions

6.1 Becoming a Seller

To sell Skills on AgentPowers, you must:

• Have an active AgentPowers account in good standing
• Connect a valid Stripe account through Stripe Connect for receiving payouts
• Agree to these Terms and any additional seller guidelines we may publish
• Comply with all applicable laws and regulations in your jurisdiction

6.2 Commission and Payouts

AgentPowers retains a 15% commission on each sale, with a minimum fee of $5.00 per transaction. The remaining amount is paid out to your connected Stripe account according to Stripe Connect's payout schedule and policies. This commission rate is subject to change. We will provide at least 30 days' written notice before any commission rate increase takes effect. Existing sales completed before the rate change will not be affected.

Payouts are processed automatically through Stripe Connect. Payout timing, minimum thresholds, and processing are subject to Stripe's policies. AgentPowers is not responsible for delays or failures in payout processing caused by Stripe or your banking institution.

6.3 Seller Representations and Warranties

As a seller, you represent and warrant that:

• You own all intellectual property rights to the Skills you publish, or have obtained all necessary licenses and permissions to distribute them
• Your Skills do not infringe upon any third-party intellectual property rights, including patents, copyrights, trademarks, or trade secrets
• Your Skills do not contain malicious code, backdoors, spyware, ransomware, cryptominers, or any intentional security vulnerabilities
• Your Skill descriptions, screenshots, and marketing materials accurately represent the Skill's functionality, features, and limitations
• Your Skills comply with all applicable laws and regulations, including export control laws
• You will provide reasonable support to buyers of your Skills and address legitimate functionality issues in a timely manner

6.4 Content Removal

AgentPowers reserves the right to remove, delist, or suspend any Skill from the marketplace at any time, with or without notice, for any reason, including but not limited to:

• Security vulnerabilities or threats identified by our automated scanning or manual review
• Violations of these Terms or our seller guidelines
• Intellectual property infringement claims
• Quality issues, misleading descriptions, or buyer complaints
• Legal or regulatory requirements
• Inactivity or abandonment of a Skill by its seller

7. Security Scanning and Trust

All Skills published on AgentPowers undergo automated security scanning before they are made available on the marketplace. Each Skill receives a security status:

• Verified (Pass): No known security issues detected by our automated scans
• Warning: Potential security concerns identified that may require buyer review
• Blocked: Significant security threats detected; the Skill will not be listed
• Not Scanned: Skills sourced from external registries that have not undergone our scanning process

While we make commercially reasonable efforts to identify security issues through automated scanning, we do not guarantee that any Skill is free from all vulnerabilities, bugs, or malicious code. Security scanning provides an additional layer of review but is not a substitute for your own due diligence.

Users install and execute Skills at their own risk. AgentPowers, Digital Envision LLC, its officers, employees, and agents shall not be held liable for any damage, data loss, security breach, or other harm caused by a Skill downloaded or installed through the Platform.

8. Intellectual Property

8.1 Platform Intellectual Property

The AgentPowers name, logo, website design, user interface, source code, and all related branding are the exclusive property of Digital Envision LLC. All rights reserved. You may not copy, modify, distribute, or create derivative works based on our Platform or branding without our prior written consent.

8.2 Seller Intellectual Property

Sellers retain full ownership of the Skills they publish on the Platform. By publishing a Skill on AgentPowers, you grant Digital Envision LLC a non-exclusive, worldwide, royalty-free license to:

• Display, host, and distribute the Skill through the Platform
• Use the Skill's name, description, and associated media for marketing and promotional purposes on the Platform and in related communications
• Perform automated security scanning and analysis on the Skill
• Cache and serve the Skill to authorized purchasers

This license terminates when you remove your Skill from the Platform, except with respect to copies already purchased by buyers, which remain subject to the applicable license terms.

8.3 DMCA and Intellectual Property Disputes

We respect the intellectual property rights of others. If you believe that a Skill on our Platform infringes your copyright or other intellectual property rights, please notify us at legal@agentpowers.ai with:

• A description of the copyrighted work or intellectual property you claim has been infringed
• A description of the infringing material and its location on the Platform
• Your contact information (name, address, email, phone number)
• A statement that you have a good faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf
• Your physical or electronic signature

We will investigate all legitimate claims and take appropriate action, which may include removing the infringing Skill and terminating the seller's account for repeat offenses.

9. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

9.1 General Prohibitions

• Violate any applicable local, state, national, or international law or regulation
• Create multiple accounts for the purpose of abusing promotions, referral programs, or circumventing account restrictions
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Interfere with, disrupt, or place an undue burden on the Platform or its infrastructure
• Attempt to gain unauthorized access to any portion of the Platform, other users' accounts, or any systems or networks connected to the Platform
• Use any automated means (bots, scrapers, crawlers) to access the Platform for any purpose without our express written permission
• Collect or harvest any personally identifiable information from the Platform

9.2 Buyer Prohibitions

• Share, resell, sublicense, or redistribute purchased license codes or downloaded Skills
• Attempt to reverse-engineer, decompile, disassemble, or circumvent the license or security systems
• Use purchased Skills in any manner that violates the seller's stated license terms
• File fraudulent chargebacks or payment disputes for legitimately delivered digital goods

9.3 Seller Prohibitions

• Publish Skills that contain malware, spyware, ransomware, cryptominers, or any form of malicious code
• Misrepresent the functionality, capabilities, or limitations of a Skill in its listing
• Publish Skills that infringe on any third-party intellectual property rights
• Engage in price manipulation, artificial review generation, or other deceptive practices
• Collect buyer data beyond what is necessary for the Skill's stated functionality
• Include hidden functionality, unauthorized data exfiltration, or undisclosed network calls in Skills

10. Reviews and User Content

Users may submit reviews and ratings for Skills they have purchased. By submitting a review, you grant Digital Envision LLC a non-exclusive, royalty-free, perpetual license to display, reproduce, and distribute your review on the Platform.

Reviews must:

• Be based on your genuine experience with the Skill
• Be accurate, honest, and not misleading
• Not contain offensive, defamatory, or harassing language
• Not contain spam, advertising, or promotional material

We reserve the right to remove reviews that violate these guidelines or these Terms at our sole discretion.

11. Disclaimers and Warranty Exclusions

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DIGITAL ENVISION LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE PLATFORM
• WARRANTIES REGARDING THE QUALITY, SAFETY, OR FUNCTIONALITY OF ANY SKILL LISTED ON THE PLATFORM

Digital Envision LLC does not warrant or guarantee the performance, quality, accuracy, or suitability of any Skill listed by third-party sellers. Your use of any Skill purchased through the Platform is at your sole risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DIGITAL ENVISION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages resulting from the use or inability to use the Service
• Damages resulting from any Skill purchased, downloaded, or installed through the Platform
• Damages resulting from unauthorized access to or alteration of your data or transmissions
• Damages resulting from any third-party conduct on the Platform

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO AGENTPOWERS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless Digital Envision LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service or any Skill purchased through the Platform
• Your violation of these Terms or any applicable law
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit, publish, or make available through the Platform
• Any dispute between you and another user of the Platform

14. Dispute Resolution

14.1 Governing Law

These Terms and any disputes arising from or related to them shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

14.2 Informal Resolution

Before filing any formal legal claim, you agree to first attempt to resolve any dispute informally by contacting us at legal@agentpowers.ai. We will attempt to resolve the dispute informally within 30 days. If the dispute is not resolved within this period, either party may proceed with formal legal action.

14.3 Jurisdiction and Venue

Any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

14.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or any applicable law
• Redistribution, sharing, or unauthorized distribution of purchased Skills or license codes
• Repeated violations of the license terms set forth in Section 5, including multiple instances of redistribution or circumvention of creator-protection measures
• Fraudulent or illegal activity
• Extended periods of inactivity
• Request by law enforcement or government agencies
• Discontinuation or material modification of the Service

Account termination for redistribution violations is permanent. A terminated account holder forfeits all purchased licenses, pending payouts (if a seller), and any other rights associated with their account. We reserve the right to pursue additional legal remedies for willful or large-scale redistribution of protected Skills.

Upon termination, your right to use the Service immediately ceases. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

If you are a seller, termination does not affect license grants already made to buyers who purchased your Skills prior to termination. Buyers retain the rights granted by their license codes.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email at least 15 days before the changes take effect. The "Last updated" date at the top of these Terms indicates when they were last revised.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digital Envision LLC regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
